- Proxy voting
- Whether owners may vote by proxy, and whether a general or only a limited proxy is allowed, is set by your state statute and governing documents. Confirm both before a vote.
- Board-meeting quorum
- A majority of the directors in office is the near-universal default for a board-meeting quorum, unless your bylaws set a larger number.
- Proxy validity
- Many states cap proxy validity (often 90–120 days) and require the proxy to be dated and signed. Check your state statute.
