Proxy voting
Whether owners may vote by proxy — and whether a general or only a limited proxy is allowed — is set by your state statute and governing documents. Confirm both before a vote.
Board-meeting quorum
A majority of the directors in office is the near-universal default for a board-meeting quorum, unless your bylaws set a larger number.
Proxy validity
Many states cap proxy validity (often 90–120 days) and require the proxy to be dated and signed. Check your state statute.
